Unless otherwise stated, THINKAD PLATFORM LLC and/or its licensors own the intellectual property rights for all material on ThinkAd Platform. All intellectual property rights are reserved. You may access this from ThinkAd Platform for your own personal use subjected to restrictions set in these terms and conditions.

• Sell, rent or sub-license material from ThinkAd Platform
• Reproduce, duplicate or copy material from ThinkAd Platform
• Redistribute content from ThinkAd Platform

Billing and Payment

If you select a paid Service, you must provide us with current, complete, accurate and authorized payment method information (e.g. credit card information). You authorize us to charge your provided payment method for the Services you have selected and for any paid feature(s) that you choose. We may bill: (a) in advance; (b) at the time of purchase; (c) shortly after purchase; or (d) if you have elected a subscription service, on a recurring basis.

To the extent ThinkAd Platform has not received your payment, in order to bring your account in good standing, we may either stop services and charge current amounts due or, if payment is past due, we may suspend your Service(s) until payment is received. You understand that failure to pay any charges or fees may result in the suspension or cancellation of your Services.

Subscription Period and Plans

1. Subscription Structure

a. The subscription fees for use of the Services are calculated based on the actual monthly advertising spend incurred by the Client, as measured by Company systems.

b. Clients may choose between two billing cycles:

c. Current pricing tiers for both Monthly and Annual Subscriptions are published and maintained on the Company's Pricing page. The fee charged shall always correspond to the highest applicable spend tier based on actual usage, irrespective of any previously selected or projected plan.

2. Automatic Plan Adjustments

a. Monthly Subscriptions:
If, during any monthly billing cycle, the Client's actual advertising spend exceeds the limit of the current subscription tier, the subscription will be automatically adjusted to the corresponding higher spend tier. The fee for that billing cycle will reflect the actual tier in which the Client's spend falls and will be charged at the end of the billing cycle.

b. Annual Subscriptions:
If, at any time during an annual billing period, the Client's cumulative advertising spend exceeds the limit applicable to the current annual subscription tier, the subscription will be immediately upgraded to the appropriate higher spend tier. The Client will be charged, on the date the tier is exceeded, a fee equal to the difference between the amount previously paid and the fee applicable to the higher spend tier for the remainder of that annual period. Spend limits will be adjusted accordingly for the upgraded tier.

c. All subscriptions will automatically renew for successive periods (each month or year, as applicable), and the Client will be billed on or about the calendar day corresponding to the commencement of the previous billing period, unless notice of cancellation is submitted by the Client no less than three (3) business days prior to the renewal date.

3. Early Bird Access

A limited-time "Early Bird" subscription plan was previously made available for a one-time fee of $49.00. This plan entitles Clients to perpetual access to the Services at that rate, provided the subscription remains continuously active and uninterrupted. If the "Early Bird" plan is canceled for any reason, it cannot be reactivated or repurchased. Reinstatement of access thereafter requires selection of and enrollment in one of the current standard Subscription plans.

* The Early Bird Offer is limited to one (1) Amazon account per registered user and does not extend to additional Amazon accounts.

4. Additional Services

Unless otherwise stated, supplementary services such as Keyword Tracker and Semantic Core Creation are currently offered to all Clients at no additional charge, irrespective of billing cycle or advertising spend.

Hyperlinking to our Content

The following organizations may link to our Website without prior written approval:

• Government agencies;
• Search engines;
• News organizations;
• Online directory distributors may link to our Website in the same manner as they hyperlink to the Websites of other listed businesses; and
• System wide Accredited Businesses except soliciting non-profit organizations, charity shopping malls, and charity fundraising groups which may not hyperlink to our Web site.

These organizations may link to our home page, to publications or to other Website information so long as the link: (a) is not in any way deceptive; (b) does not falsely imply sponsorship, endorsement or approval of the linking party and its products and/or services; and (c) fits within the context of the linking party's site.

We may consider and approve other link requests from the following types of organizations:

• commonly-known consumer and/or business information sources;
• dot.com community sites;
• associations or other groups representing charities;
• online directory distributors;
• internet portals;
• accounting, law and consulting firms; and
• educational institutions and trade associations.

We will approve link requests from these organizations if we decide that: (a) the link would not make us look unfavorably to ourselves or to our accredited businesses; (b) the organization does not have any negative records with us; (c) the benefit to us from the visibility of the hyperlink compensates the absence of ThinkAd; and (d) the link is in the context of general resource information.

These organizations may link to our home page so long as the link: (a) is not in any way deceptive; (b) does not falsely imply sponsorship, endorsement or approval of the linking party and its products or services; and (c) fits within the context of the linking party's site.

If you are one of the organizations listed in paragraph 2 above and are interested in linking to our website, you must inform us by sending an e-mail to THINKAD PLATFORM LLC. Please include your name, your organization name, contact information as well as the URL of your site, a list of any URLs from which you intend to link to our Website, and a list of the URLs on our site to which you would like to link. Wait 2-3 weeks for a response.

Approved organizations may hyperlink to our Website as follows:

• By use of our corporate name; or
• By use of the uniform resource locator being linked to; or
